Summary

In-house counsel today have multidimensional roles, acting as both lawyers and business advisors, which makes it challenging and sometimes impossible to disentangle their legal advice from their nonlegal advice. In January 2023, the United States Supreme Court issues a one-sentence per curiam opinion dismissing the writ of certiorari in In re Grand Jury, No. 21-1397 as improvidently granted, leaving in place the circuit split and creating uncertainty for in-house counsel over when their communications involving both legal and nonlegal advice are treated as privileged. This seminar addresses the ethical obligations attorneys have to provide both legal and nonlegal advice and the ethical issues that arise when they do so.
